In House Corporate Paralegal, Section 16
Our Client is currently seeking a detail-oriented and proactive Paralegal to join our team, specializing in Section 16 filings.
Client Details
Our Client is a global Real Estate Investment Trust
Description
- Assist in capital markets transactions by preparing checklists, obtaining signatures, and providing due diligence materials.
- Prepare and file Section 16 forms, and track stock ownership of directors and officers.
- Assist with proxy statement preparation and annual shareholder meeting logistics.
- Prepare and file various SEC forms (Registration Statements, Form 8-Ks, 10-Ks, 10-Qs) and related documents.
- Review and draft corporate documents, maintain subsidiary records, and manage legal filing systems.
Profile
- 3+ years of experience
- Bachelor's degree and/or paralegal certification
- Big law firm experience preferred; mix of capital markets deal work and public company work
- Notary public (New York) preferred, or willingness to obtain notary certification
- Computer literacy and proficiency; Excel, Workiva (Section 16), EDGAR, Diligent, Microsoft Office Suite and DocuSign experience preferred
