Senior Counsel - 1940 Act
The Senior Legal Counsel will be responsible for handling legal matters pertaining to RICs. This role requires expertise in the Investment Company Act of 1940, the Investment Advisers Act and regulations surrounding US securities related matters.

The Senior Legal Counsel will work closely with other members of the legal team, advising the business on the following legal matters:
- Provide clear and concise legal advice to business units on registered investment companies, public markets, registered funds, particularly focusing on 1940 Act support
- Review regulatory filings, '40 Act fund registration statements, proxy statements and prospectuses
- Ensure all marketing, operational and investment matters are in compliance with various regulations pertaining registered investment companies and funds
- Assist with fund creation, mergers and new product offerings/changes to existing products
- Work directly with internal business partners

Profile
- JD from a top US law school
- NY or US State Bar
- 5-8+ years of experience gained at a top law firm supporting Investment Management/Asset Management '40 Act work and/or in-house with a financial services company
- Must have deep experience providing advice on the Investment Company Act of 1940, Investment Advisers Act and other regulatory matters pertaining to a registered investment company
- Experience advising clients on investment company disclosure matters, corporate governance and securities law
- Experience reviewing board materials, '40 act fund registration statements, proxy statements, regulatory filings and prospectuses
- Excellent communication skills and ability to work with multiple stakeholders
- Willing to work in-office 3x per week 1x in NYC 2x in Philadelphia, PA
Nice to have:
- Additional experience working with ETFs, mutual funds and public market investment vehicles preferred
- Experience with 1940 Act compliance matters
- Broker-dealer legal and compliance experience
