Senior Counsel - Registered Funds
Exciting opportunity for an Attorney with 4-6 years of experience within the registered funds legal space to join a dynamic legal team with a rapidly growing financial services client. This role is a crucial hire that will handle all registered funds legal matters.

Description
The Senior Counsel will work with the Deputy General Counsel and other members of the legal team.
Main Responsibilities
- Draft and review of registered fund offering materials, and private fund, UIT and ETF legal documentation.
- Assist regulatory and compliance with the substantive provisions of the 1933 and 1940 Act, including those governing affiliated transactions, fund-of-fund arrangements, and advisory and distribution contracts.
- Negotiate various agreements with counterparties including distributors, service providers, fund managers and BDCs, non-traded REITs, private REITs, and other closed-end funds registered under the 1940 Act.
- Advise on the legal implications of offering new and existing products and services.
- Coordinate use of outside legal counsel with respect to a variety of issues including regulatory, corporate and fund investment work.
- Review materials for SEC and FINRA compliance.
- Draft and review various contracts, non-disclosure agreements and other legal documentation.
Profile
- JD from top law school with excellent academic credentials and GPA
- Admitted to US State Bar
- 4-6 years of experience within the Registered Funds/Mutual Funds group of a top law firm or in-house at a an asset manager or bank
- Expertise in the 1933 Act and 1940 Act, Forms N-1A and N-2
- Experience with Commodity Exchange Act and NFA Rules experience
- Experience working with UITS and ETFs is preferred
- Team player
- Excellent communication skills
