The ideal candidate will have SaaS start-up experience and varied legal skills (employment, contract negotiation, litigation, IP/ trademark, M&A) as well as experience operating as Corporate Secretary. Ideal role for a versatile and persuasive NY barred attorney with experience leading an in-house legal department, working directly with the Board.

Description

Varied role as General Counsel, responsibilities include:

• Corporate Secretary
• Lead the legal department (Assistant General Counsels, Paralegals)
• Guide the Board and senior leadership team - advising of new laws/ regulations, updating policies and running training
• Protect the company against legal risks and violations
• Anticipate and mitigate potential legal problems within the organization
• Develop and implement the company's legal strategy
• Provide legal guidance on a range of matters: employment, IP/ trademark, litigation, M&A, corporate governance and business policy.

Profile

Demonstrable skills required for the successful General Counsel include:

• Previous experience in the SaaS technology start-up world
• Juris Doctor and New York State Bar (in good standing)
• Confident, comfortable persuading and articulating complex legal matters to non-legal Board members and key stakeholders
• A deep understanding of corporate law and legal issues related to the technology industry
• Proven experience operating as a 'business focused' attorney in a commercial environment
• Excellent negotiation and communication skills
• Aptitude in problem-solving, experienced in leading a legal department and handling outside counsel
