US Legal Counsel

Michael Page Houston, TX (Onsite) Full-Time
$175,000 - $200,000/Year

Reporting to the Group General Counsel, the Legal Counsel will be responsible for advising on US legal matters for hyper-growth renewables client. This role will work directly with business leadership, advising on all existing and new projects, finance, transactional matters, contracts, and corporate governance.

Description

Reporting to the Group General Counsel, the US Legal Counsel will be responsible for advising the business on a wide range of legal matters, including:

  • Manage the process to provide legal contracting support to all company functions across entire project lifecycle, including: negotiation, review, amendment and enforcement of services agreements, EPC agreements, grid connection agreements, power purchase agreements (PPAs), land lease agreements, offtake agreements, construction agreements, interconnection agreements, etc.
  • Review and negotiate construction, operations, and maintenance contracts for energy projects.
  • Draft joint venture and partnership agreements for project development
  • Manage the legal due diligence and third-party audit processes as required
  • Work closely with finance, development, HR, procurement and sales teams on a daily basis
  • Develop (in conjunction with Group GC) Delegation of Authority policy and other policies relating to corporate compliance
  • Assist with structuring project financing, including tax equity and debt financing
  • Advise on renewable energy incentives and subsidies, including the impact of the Inflation Reduction Act (IRA)
  • Support in the creation of special purpose vehicles (SPVs) for project development

Profile

  • JD from a top-tier accredited law school
  • US State Bar Admission (TX ideal)
  • 6+ years practicing as an attorney with experience gained in-house within the renewables space, with prior experience preferably gained in big law within energy and project finance
  • Must have extensive experience with energy and project finance related contracts
  • Excellent experience drafting and negotiating corporate and commercial agreements within the renewable energy space, including: EPC agreements, PPAs, offtake agreements, interconnection/grid connection agreements, construction agreements, vendor contracts, etc.
  • Excellent writing, document drafting, analytical and communication skills
  • Proven ability to successfully work cross functionally with internal clients, including: Accounting, Sales, Development, Investments, Finance, Operations and external legal counsel
  • Must be able to work and liase with global legal team in different time zones
  • Must be able to work autonomously

Job Requirements:

JD from a top law school, 8+ years of experience ideally within the renewable energy space, broad range of corporate and transactional, mergers and acquisitions, commercial finance experience.
