Top investment bank has an opening for an entrepreneurial M&A Advisory Counsel to provide business unit coverage with a focus on M&A and financial advisory matters.

Description

The M&A Advisory Counsel will serve as the primary legal coverage lawyer for all of the the investment bank's M&A and financial advisory matters, advising both industry and product coverage groups and partnering with senior leadership.

Main Responsibilities:

  • Draft, review, and negotiate M&A engagement letters and related documentation
  • Review and advise on fairness opinions, proxy disclosure and valuations
  • Provide legal support to the business in relation to capital markets transactions and related documentation, specifically: underwriting agreements, offering documents, placement engagement letters
  • Provide legal advice on M&A transactions, with a focus on public company transactions
  • Advise on ECM, Fixed Income Capital Markets and Private Placements
  • Prepare standard forms, policies and procedures for the investment banking business
  • Manage outside counsel on investment banking transactional matters
  • Provide support to other lawyers on the legal team
  • Provide relevant training to the business on a wide range of M&A matters

Profile

  • JD from US ABA accredited law school
  • 10+ years of experience ideally gained in-house supporting the front office on M&A and Financial Advisory matters at an investment bank
  • US State Bar Admission
  • Deep M&A transactional and advisory experience including experience drafting and negotiating M&A engagement letters
  • Must have experience with and understanding of M&A valuations, fairness opinions, proxy disclosures, etc.
  • Strong knowledge of and experience with rules and regulations as well as market practices applicable to US investment banking business
  • Strong drafting and analytical skills, superior judgment and ability to access risk and keep business moving forward
  • Excellent communication skills including the ability to provide clear, concise and practical advice and guidance to senior business partners
  • Ability to serve as a trusted business partner and provide proactive solutions to the business
  • Must be able to build strong working relationships with senior members of the bank and have the ability to provide training to front office partners and to facilitate business in a risk-appropriate and cost-effective manner
  • Excellent drafting and negotiating skills
  • Ability to simplify legal advice for multiple stakeholders within a fast paced business
