Senior Corporate Paralegal
- Overseeing corporate governance to ensure compliance with SEC, NYSE, and regulatory requirements
- Key responsibilities include managing subsidiary compliance, preparing meeting materials and board resolutions, handling SEC filings (e.g., Section 16 forms, proxy statements)
- Coordinating with external auditors
- Organizing stockholder meetings
- Managing securities trading policies, supporting corporate transactions like M&A
- Assisting with ethics and compliance investigations
- Collaborating on training programs and compliance databases

Description
- Oversee the annual corporate governance calendar to ensure compliance with SEC, NYSE, and other regulatory filing and notice requirements.
- Manage domestic and international subsidiary compliance with various legal requirements.
- Prepare and manage minutes, board resolutions, agendas, and materials for board and committee meetings, working closely with the CEO's office on board meeting coordination.
- Handle Section 16 filings (Forms 3, 4, and 5), director and officer questionnaires, NYSE compliance filings, and assist in the preparation of the annual proxy statement.
- Coordinate with external auditors on quarterly audits and SEC filings.
- Organize the annual meeting of stockholders, including materials preparation, voting reports, and calendar management.
- Manage the company's securities trading policy, including the trading window calendar and processing clearance requests.
- Collaborate with professional services firms to implement training programs and manage compliance databases, reports, and training records.
- Support corporate transactions, including M&A, tax, and financing activities.
- Handle complaints received through the Ethics and Compliance hotline and assist with investigations.
Profile
- Bachelor's degree required; Paralegal certificate or equivalent work experience preferred.
- Minimum of 5 years of experience as a corporate paralegal in an in-house legal department or law firm (public company experience preferred).
- Proficiency in Microsoft Office (Word, Excel, PowerPoint, Outlook).
- Exceptional organizational skills and attention to detail, with experience managing filing systems.
- Strong verbal and written communication skills.
- Knowledge of '34 Act requirements (e.g., Section 16) and U.S. public company board governance standards preferred.
- Self-motivated, flexible, and capable of managing multiple projects simultaneously.
- Connecticut Notary Public license preferred.
