Legal Counsel - Equity Derivatives
Top investment bank has an opening for an entrepreneurial Senior Counsel to provide business unit coverage with a focus on equity derivatives and related markets trading documentation.

Description
Main Responsibilities:
- Provide legal coverage to the equities sales and trading business, with an emphasis on equity derivatives and structured equity finance transactions
- Draft, review, and negotiate trading documentation, including ISDA Master Agreements, credit support annexes (initial and variation margin), master confirmations, and related agreements
- Advise on regulatory requirements impacting derivatives transactions, including uncleared margin rules and other applicable frameworks
- Support trading activity across a variety of products, including equity swaps, options, and forwards
- Draft and negotiate securities financing documentation, such as MRAs and MSLAs, and contribute to the development and maintenance of standardized templates
- Collaborate with internal stakeholders across Credit, Market Risk, Collateral, Operations, and related functions to address legal, documentation, and risk considerations

Profile
- JD from US ABA accredited law school
- 4+ years of experience ideally gained in-house supporting the equity derivatives desk of an investment bank, with prior experience at an AmLaw 100 firm highly preferred
- US State Bar Admission
- Experience drafting, negotiating and advising on a wide range of equity derivatives and structured notes documentation
- Experience with and deep understanding of securities laws ('33 Act, '34 Act) in relation to equity derivatives
- Experience advising on margin loans and structured notes transactions
- Strong understanding of ISDA framework
- Excellent drafting and negotiating skills
- Ability to simplify legal advice for multiple stakeholders within a fast paced business
