Interim M&A Counsel
We are seeking a detail-oriented and agile Interim M&A Attorney with 3-4+ years of experience in private equity transactions to support our legal team during a high-volume deal cycle. Remote role with fluctuating hours.

Our client is a financial services organization.
Description
- Provide legal support for M&A transactions, including deal structuring, negotiation, and execution.
- Draft, review, and negotiate key documents such as purchase agreements, NDAs, term sheets, and employment agreements.
- Advise on and draft restrictive covenants (e.g., non-compete, non-solicitation, confidentiality) in the context of acquisitions and executive transitions.
- Conduct and manage legal due diligence, identifying risks and mitigation strategies.
- Collaborate with internal stakeholders, external counsel, and deal teams to ensure smooth transaction flow.
- Ensure compliance with applicable corporate, securities, and employment laws.
- Support post-closing integration and contract enforcement as needed.

Profile
- A Juris Doctor (JD) degree from an accredited law school.
- Active membership in good standing with a US state bar.
- 3-4+ years of experience handling M&A private equity transactional work, including all related deal documentation, ideally gained in big law and/or in-house within the private equity space.
- Strong knowledge of mergers and acquisitions within the financial services industry.
- Excellent drafting, negotiation, and analytical skills.
- The ability to manage multiple priorities and meet tight deadlines.
- Strong interpersonal and communication skills to collaborate effectively with stakeholders.
- Must be able to work a fluctuating schedule (i.e. no set hours, some weeks busier than others).
- Must be able to work autonomously.
