Structured Finance Senior Counsel
The Senior Counsel will handle a wide range of structured finance matters, serving as a business partner to the front office.

- Advises business teams engaged in a variety of structured finance activities, including asset‑backed lending, mortgage and real estate finance, whole loan transactions, and securitization programs.
- Leads the preparation, review, and negotiation of complex financing and securitization agreements.
- Partners with business, compliance, risk, and operations teams to support the launch and execution of new products, structures, and strategic initiatives.
- Evaluates and enhances internal policies and procedures affecting structured finance activities, working closely with compliance and risk stakeholders.
- Tracks and interprets evolving legal and regulatory requirements, assessing implications for structured finance and related business lines.
- Participates as a legal representative on cross‑functional working groups addressing regulatory initiatives, process improvements, and industry developments.
- Provides pragmatic legal guidance to front‑office professionals and corporate functions on strategic projects and novel transactions.
- Delivers clear, practical legal analysis and recommendations on complex questions impacting structured finance operations.
- Represents the organization in industry groups and contributes to regulatory engagement efforts, including preparation of responses to proposed rulemaking.

Profile
- Juris Doctor (J.D.) and admission to practice law in at least one U.S. jurisdiction (NY or TX).
- Significant experience in structured finance or related areas at a law firm, financial institution, or similar organization.
- Deep knowledge of securitization transactions and related legal and regulatory frameworks.
- Subject matter expertise of securitization processes (CMBS, RMBS) and regulations, including securitization vehicles and regulations relating thereto.
- Strong foundation in corporate, securities, finance, creditor rights, and bankruptcy law.
- Excellent written and verbal communication skills, with strong analytical and practical problem-solving abilities.
- Demonstrated ability to exercise discretion and maintain confidentiality.
- Self-directed, adaptable, and effective under pressure.
