Director, Senior Counsel - US Funding Transactions

The Director, Senior Counsel will join the Global Markets legal team of a growing investment bank and will be responsible for providing primary legal support across a variety of capital markets transactions, with a focus on funding-type transactions in the Global Markets business.

Description

Reporting directly to the Head of US Legal for the investment bank, the Director, Senior Counsel will be a key part of a growing legal team and will be responsible for the following:

  • Provide legal counsel on a variety of capital markets transactions, with a particular focus on funding transactions, including balance sheet management related transactions, within the Global Markets business.
  • Lead the legal management of transactions, ensuring compliance with internal policies and external regulations.
  • Coordinate with regulatory colleagues to address legal and compliance considerations.
  • Draft, review and negotiate transaction documents and agreements.
  • Advise internal stakeholders on legal risks and strategic considerations related to funding and capital markets transactions.
  • Stay up to date on legal and regulatory developments impacting global markets activities.
  • Support other legal matters as required in a dynamic and challenging environment.

Profile

The successful candidate is lawyer with experience in US capital markets transactions and various regulatory matters at a large law firm and/or financial institution.

Requirements

  • JD from US ABA accredited law school.
  • Admission to NY State Bar.
  • 10+ years of legal experience, ideally gained at a large law firm or a mix of private practice and in-house roles involving complex, novel or niche transactional work.
  • Experience with some or all of the following: Balance Sheet Management securitizations, Public Finance Capital Raises, Commodities funding transactions, ABCP, Money Market transactions.
  • Strong background in capital markets, funding transactions and regulatory considerations.
  • Some securities regulatory, commodities or similar experience is an asset.
  • Strong analytical, problem-solving and decision-making skills.
  • Ability to work effectively in a fast-paced, complex and ever-evolving environment.
  • Strong knowledge of a wide range of financial products, having advised on new product launches within the investment banking space.
  • Experience advising senior stakeholders within and investment bank.
  • Excellent drafting and negotiating skills.
